and Carillion plc Employee Share Ownership Trust (the Trust)
Mr. Chris Girling, Finance Director, on 6 July 2006 exercised Executive Share
Options over 95,959 Carillion plc ordinary shares of 50p each (0.034% of the
issued share capital) granted on 1July 2003 at an option price of 163.4 pence.
The 95,959 shares were then sold (including for tax and national insurance
purposes) on 6 July 2006 at a price of 315.5 pence per share.
The total number of Carillion ordinary shares of 50p now held by Mr Girling
following this transaction is 58,258 (0.02% of the issued share capital).
Following this transaction, the Trust holds 1,710,705 shares (0.61% of the
issued share capital).
