Carillion plc Employee Share Ownership Trust (the Trust)
and Deferred Bonus Plan
The following Persons Discharging Managerial Responsibilities (PDMRs) were today
assigned from shares already held in the Carillion plc Employee Share Ownership
Trust (the Trust), the following awards under the Carillion Deferred Bonus Plan:

John McDonough, Chief Executive 29,395 shares
Chris Girling, Finance Director 17,479 shares
Roger Robinson, Construction Services Director 18,870 shares
Adrian Bull, MD Carillion Health 10,000 shares
Don Kenny, MD Carillion Business Services 11,290 shares
Paul Kirk, MD Carillion Transport 11,935 shares
Richard Tapp, Company Secretary 10,725 shares
Susan Morton, HR Director 3,967 shares
Total 113,661 shares*
*Less than 0.1% of the issued share capital.
The shares will be held in the Trust and will be transferred to participants
including the above named PDMRs in 2006, subject to them remaining in employment
or leaving in permitted circumstances.
The Trust holds 3,925,097 shares (1.829% of the issued share capital).
