             Employee Share Ownership Trust - Directors' Interests

Carillion plc (the Company) was notified today, 18 March 2005, that the
Carillion plc Employee Share Ownership Trust (the Trust) has transferred a total
of 172,913 Carillion plc ordinary shares of 50p each (0.08% of the issued share
capital) pursuant to the vesting of awards under the Carillion Long Term
Incentive Plan.

The number of Carillion plc ordinary shares now held by the Trust is 4,024,003
(1.88% of the issued share capital).

Directors of the Company have an interest in these shares as potential
beneficiaries under the said Trust.
