Carillion plc Board change - retirement of director


M. Jean-Paul Parayre has retired from the Board of Carillion plc with effect
from 7 December 2004. M. Parayre has been a director of Carillion plc since he
was appointed in May 1999 and has been senior non-executive director since
January 2002.


The Board wishes to record its gratitude to Jean-Paul for his wise counsel and
the contribution he has made to Carillion's success during his time as a
director.
