Notification of Interests of Directors and Connected Persons
The directors of Carillion plc (the Company) have increased their equity
holdings in the Company as follows.

These shares were acquired under an employee share ownership plan operated by
Tarmac prior to the demerger of Carillion(price per share is therefore not
applicable).
Other Share Transaction
Mr Roger Brooke, a non-executive director of the Company has also increased
his shareholding in the Company with the purchase on 6 October 1999 of 20,000
Carillion shares (ordinary shares of 50p each) at a price of 127.5p per share.
Following this notification, the directors have the following total holdings
in the Company:
