Carillion plc (the Company) - Annual General Meeting 15 May 2002


It is confirmed that all of the resolutions put to the Company's shareholders at
the AGM held yesterday were passed. In accordance with paragraph 9.31(b) of the
Listing Rules, a copy of the resolutions has been forwarded to the UK Listing
Authority and will shortly be available for viewing.
