Total Voting Rights

In accordance with the provisions of the Financial Services Authority's Disclosure and Transparency Rules, in particular DTR 5.6.1, Carillion notifies the market of the following:

Carillion's issued share capital as at 28 April 2011 comprises 430,254,629 ordinary shares of 50 pence each with voting rights. Carillion does not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Carillion is 430,254,629.

The above figure of 430,254,629 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, Carillion under the Financial Services Authority's Disclosure and Transparency Rules.
