Directors' Interest in Shares
On 2 May 2003, Carnival plc ("the "Company") was notified by Peter Ratcliffe, a
director of the Company, that following the recent settlement of the Partial
Share Offer by Carnival Corporation for ordinary shares in the Company which was
declared unconditional on 17 April 2003, he has received 17,974 shares of common
stock of Carnival Corporation in exchange for 59,837 ordinary shares of 50 cents
each in the Company ("pre-reorganisation shares"). Consequently, and taking
account of the reorganisation of the share capital of the Company that took
place following completion of the dual-listed company transaction, Mr Ratcliffe
now owns or has a beneficial interest in 54,432 ordinary shares of $1.66 each
("post-reorganisation shares") of the Company.
