                   NOTIFICATION OF INTEREST IN SHARES

The  Board of Carr's Milling Industries PLC (the 'Company') was notified
on 6 October 2000, in accordance with the provisions of sections 198-202
of  the  Companies Act 1985, that as a result of a purchase  of  110,000
ordinary  shares  of 25p each in the Company, Merrill  Lynch  Investment
Managers  Limited has an interest in 1,191,500 shares  in  the  Company,
representing 14.90 per cent. of the issued ordinary share capital.   The
shareholding is registered as follows:
