CATLIN GROUP LIMITED (the 'Company')

Dealings by the Trustees of the Catlin Group Employee Benefit Trust (the 'EBT')

The Company received notification yesterday that the Trustees of the EBT have acquired common shares of $0.01 each in the capital of the Company ('Shares') as detailed below:

The EBT is a trust for the benefit of employees of the Company and its subsidiaries ('Group').

The executive directors of the Company, Stephen Catlin and Christopher Stooke, together with Richard Banas, Paul Brand, Paul Jardine and Preben Prebensen (being persons discharging managerial responsibilities) have an interest in the Shares acquired as potential beneficiaries under the EBT in respect of their participation in Group share schemes.

The purchase of the Shares took place over the London Stock Exchange.

This notification is made in accordance with Rule 3.1.4R (1) (a) of the Disclosure and Transparency Rules.
