DIRECTORS' AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES' SHAREHOLDINGS

It is announced that the following acquisitions of Common Shares occurred upon the exercise of nil cost Performance Share Plan awards on 13 February 2015:

As a result of exercising his PSP awards, Mr Meuli will receive an additional 49,180 Common Shares representing dividend equivalents on 20 February 2015.  His total holding at that date will be 1,242,456 Common Shares.
Paul Brand	Person discharging managerial responsibilities	182,033	85,814 at 702.5p per share
As a result of exercising his PSP award, Mr Brand will receive an additional 43,632 Common Shares representing dividend equivalents on 20 February 2015.  His total holding at that date will be 1,372,097 Common Shares.

The above PSP awards were satisfied by the issue of new shares and the dividend equivalents by shares from the Catlin Group Limited Employee Benefit Trust.

This announcement is made in accordance with Disclosure and Transparency Rule 3.1.4 R (1)(a).
