DIRECTORS' AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES' SHAREHOLDINGS

It is announced that the following acquisitions and sales of Common Shares occurred upon the exercise of nil cost Performance Share Plan ("PSP") options:

As a result of exercising his PSP options, Mr Jardine received an additional 38,744 Common Shares representing dividend equivalents on 21 April 2015.  His total holding at that date was 437,918 Common Shares.
16 April 2015	Andrew McMellin	Person discharging managerial responsibilities	132,742	132,742 at 712p per Common Share
As a result of exercising his PSP options, Mr McMellin received an additional 33,461 Common Shares representing dividend equivalents on 21 April 2015. His total holding at that date was 411,346 Common Shares.

The above PSP awards were satisfied by the issue of new shares and the dividend equivalents by shares from the Catlin Group Limited Employee Benefit Trust.

It is also announced that the following sales of Common Shares occurred:

Mr Brand's total holding following notification is 809,928 Common Shares.
17 April 2015	Adrian Spieler	Person discharging managerial responsibilities	13,434	13,434 at 705p per Common Share
Mr Spieler's total holding following notification is 273,666 Common Shares.
21 April 2015	Paul Jardine	Person discharging managerial responsibilities	172,606	172,606 at 706p per Common Share
Mr Jardine's total holding following notification is 265,312 Common Shares.
21 April 2015	Andrew McMellin	Person discharging managerial responsibilities	118,883	118,883 at 706p per Common Share
Mr McMellin's total holding following notification is 292,463 Common Shares.
