Exercise of Warrant and Issue of Equity

Catenae Innovation PLC (AIM: CTEA), the AIM quoted provider of digital media and technology, announces:-

-  it has received notification for the exercise of a warrant over 6,250,000 ordinary shares in the Company at an exercise price of 0.4 pence per share providing the Company with proceeds of £25,000 ("Warrant Exercise"); and

-  the issue of 3,341,057 ordinary shares as a result of the conversion of £65,485 of existing liabilities into ordinary shares at a conversion price of 1.96 pence per ordinary share ("Conversion Shares"). The Conversion Shares are subject to a six month lock-in.

Application will be made to the London Stock Exchange to admit the aggregate 9,591,057 new ordinary shares resulting from the Warrant Exercise and Conversion Shares to trading on AIM. Admission of the new ordinary shares is expected to occur on or around 27 May 2020. The new ordinary shares will rank pari passu with the existing ordinary shares.

For the purpose of the Disclosure and Transparency Rules, following the issue of shares detailed above the enlarged issued share capital of the Company will comprise 148,827,074 ordinary shares of 0.2p each. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
