Milestone, the AIM quoted (AIM: MSG) provider of digital media and technology solutions, announces that it has agreed to issue 54,855,000 new ordinary shares of 0.1p per share in the Company, subject to Admission to AIM, raising £506,000 in cash and settling £42,550 worth of creditors at a price of 1 pence per share, a large premium to the current share price. The proceeds will be used to highlight to our target audience the suite of innovative technology solutions we have.

The Company also announces that it has issued 53,415,000 warrants to certain individuals in the placing entitling the holders to subscribe for new ordinary shares - 50% with an exercise price of 1.25p and the remainder at 1.75p - which may be exercised up until 02 August 2021. The warrants can only be exercised once the share price of the Company has exceeded 2.5p for 5-day consecutive period.

The 54,855,000 new ordinary shares will rank pari passu with the existing ordinary shares of Milestone.

Application has been made for the 54,855,000 ordinary shares to be admitted to trading on AIM, which is expected to occur on or around 9 August 2016.

Following the issue, Milestone will have in issue 734,968,582 ordinary shares with voting rights.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
