Notice is hereby given in respect of the business proposed at the seventh Annual General Meeting of Capital Lease Aviation PLC which will be held at Cheyne House, Cheyne Court, 62-63 Cheapside, London EC2V 6AX on 6 December 2013 at 10.00 a.m. (UK time) (the 'AGM'), notice of which was given on 4 November 2013.

 

The Directors wish to propose an additional ordinary resolution set out below in view of the recent interim appointment of Andre Cohen as a director of the Company.

EXPLANATORY NOTES TO THE PROPOSED RESOLUTIONS

Additional Resolution - Appointment of Andre Cohen as a Director

 

Capital Lease Aviation PLC, (CLA: AIM), the aircraft leasing company, announces the appointment of Mr Andre Cohen as a Non-Executive Director to the board of the Company with immediate effect.

 

Mr Cohen is currently Chief Executive of Coherent Financial LLP ("CF"), a consultancy company set up in mid-2003 aimed at providing specialist financial and fund raising advice to transportation and infrastructure companies. 

 

Prior to setting up CF, Mr Cohen was Managing Director, Transportation Finance at WestLB from 1997 to early 2003. In that role, he and his team were responsible for managing a significant portfolio of loans (both commercial and export credit) for aircraft, shipping and logistics projects.

 

From 1988 to 1997, before joining WestLB, Mr. Cohen held the position of Finance Director for TNT's European operations. TNT was a major global freight, transportation and logistics operator. In that role, he was responsible for numerous acquisitions of transportation companies and logistics operations in Europe and for financing the development of TNT's European airfreight network as well as for a number of Ansett Airlines and AWAS financings.

 

Mr. Cohen commenced his commercial banking career in 1977 with Citicorp in Australia. He held a number of senior management and marketing positions in Australia, leading the team responsible for obtaining an Australian banking licence and ultimately headed up capital markets origination and swap activities for Australasia. He was transferred to London in early 1986 as Executive Director responsible for marketing capital markets and investment banking products to the bank's clients in Europe. Before joining Citibank, he was a research economist with the Reserve Bank of Australia.

 

In a personal capacity, Mr Cohen has had substantial Board experience with aircraft leasing entities. He was on the board of Boullioun Aviation in Seattle from 2000 to 2003. From 2001 until its sale to Bank of China in early 2007, he was a non-executive member of the Board and Chairman of the Audit Committee of SALE, a mid-sized aircraft operating lessor, partly owned by Singapore Airlines, with a portfolio of over 70 wide and narrow bodied aircraft. In 2008 and 2009, he was a Director on the Board of, and Chairman of the Audit Committee of Altitude Ltd, an aircraft leasing company based in Singapore set up by GE Capital for an IPO, which ultimately did not proceed to a listing. From August 2012 until October 2013, he was also on the Board of Aircraft Capital Trust in Singapore.
