   Resignation of non-executive Independent Directors
                            
In view of the Offer by Barker Securities Limited for the
Company  having  been declared wholly unconditional,  the
non-executive Independent Directors, David Hankinson  and
David  Hickey, have resigned as directors of the  Company
with immediate effect.
