Result of General Meeting

At the Company's General Meeting held today at 11.00 a.m., the resolutions to approve the Proposed Disposal by the Company's wholly owned subsidiary, Centaur Communications Limited, of its interest in the share capital of Perfect Information Limited to Mergermarket Limited and to approve the Proposed Settlement of the Earn Out payable to the former shareholders of E-consultancy.com Limited (as set out in the notice of General Meeting sent to Shareholders on 21 May 2014) were both passed without amendment.

The expected completion date of the Proposed Disposal is Thursday 12 June 2014 and the expected completion date of the Proposed Settlement is Monday 16 June 2014.

The voting results were as detailed below:

Notes:

1) The "For" vote includes those giving the Chairman discretion.

2) A vote "Withheld" is not a vote in law and is not counted in the calculation of the votes "For" and "Against" a resolution.

3) Votes are expressed as a percentage of votes received.

4) Voting was conducted by a show of hands.

5) The number of total voting rights as at 7 June 2014 was 142,946,882.

Terms defined in the circular sent to shareholders on 21 May 2014 have the same meanings in this announcement.
