Directors' Share Interests - Share purchases by the Trustees of the Company's
Long Term Incentive Scheme

Centrica plc announces that Mourant & Co Trustees Limited, Trustees of the
Centrica Long Term Incentive Scheme, has acquired 4,460,444 ordinary shares of 5
5/9p each in Centrica plc on 15, 16, 17, 20 and 21 November 2000 at the
following prices:

     15 November          235,000 at 249.5p
     16 November          1,000,000 at 248.6p
     17 November          1,069,675 at 247.36p
     20 November          1,655,769 at 247.27p
     21 November          500,000 at 245.6p

In respect of the Centrica Long Term Incentive Scheme in which the participants,
including Executive Directors and Senior Management, have a potential interest.
