The issuer has made the following amendment to the 'Director Shareholding'
announcement released today at 10:15 am under RNS No 5881L.

The date in which the Company allocated ordinary shares should read 30th May
2000 and not 5th May 2000 as previously stated. 

All other details remain unchanged.

The full corrected version is shown below.

On 30th May 2000, Centrica plc allocated 476,436 ordinary shares of 5 5/9 each
to Centrica Quest Limited in its capacity as a Qualifying Employee Share
Ownership Trust (QUEST) for the Company's employee Sharesave Scheme.  The shares
were allotted on 30th May 2000 at 241p per share.

The executive directors of the Company, being beneficiaries under the Trust, as
with other employees, are deemed to have a potential interest in the shares.
