Non-Executive Director

Centrica plc announced that Bill Cockburn, a Non-
Executive Director, had resigned, effective today.

The Chairman, Sir Michael Perry, said; 'The acquisition
of the AA and the recent announcements regarding the
launch of a telephone service to Goldfish card customers
presented Bill with insurmountable conflicts of interest
with his other directorships.'

He added; 'Bill's extensive experience was invaluable in
helping to transform Centrica from a gas utility to a
competitive customer services company.'

Bill Cockburn is Group Managing Director of British
Telecommunications plc and a Director of Lex Services
plc.
