Centrica appoints Non-Executive Directors

Centrica plc is pleased to announce the appointment of Kevin O'Byrne and Pam Kaur as Non-Executive Directors of the Company, with effect from 13 May 2019 and 1 February 2019 respectively. Kevin will also become Chairman of the Audit Committee. Margherita Della Valle, the current Chairman of the Audit Committee, will step down from the Board on 12 May 2019. Pam Kaur will become a member of the Audit Committee and both will become members of the Nominations Committee.

Rick Haythornthwaite, Chairman of Centrica said: "I am delighted to welcome Pam and Kevin to the Board as Non-Executive Directors.  Kevin brings a wealth of retail and finance experience and was previously chair of the Audit Committee at Land Securities Group plc. Pam's considerable experience of audit, compliance, finance and risk management will be of significant benefit to the Board.  In addition, I would like to thank Margherita Della Valle for her invaluable services as an NED of the Company over the last 8 years and, in particular, her Chairing the Audit Committee over the last 6 years"

In accordance with obligations under Listing Rule 9.6.13R, Kevin holds or has held the following directorships of a publicly quoted company in the previous five years:

Kevin O'Byrne has been the Chief Financial Officer of J Sainsbury plc since January 2017. He was previously Chief Executive Officer of Poundland Group plc from April 2016 until December 2016 and held executive roles at Kingfisher plc from 2008 to 2015, including Chief Executive Officer of B&Q UK & Ireland and Group Finance Director. Prior to this, Kevin was Group Finance Director of Dixons Retail plc. Kevin was a Non-Executive Director and Chairman of the Audit Committee of Land Securities Group PLC from 2008 to 2017.

Pam Kaur has been Group Head of Internal Audit of HSBC Holdings plc since April 2013 and is a Group Managing Director. She was formerly Global Head of Group Audit for Deutsche Bank AG from 2011 to 2013 and has held senior audit, compliance, finance and risk management positions at Citigroup, Lloyds TSB and the Royal Bank of Scotland. Pam is a Council member of The Institute of Chartered Accountants in England and Wales and Chair of the Financial Services Faculty Board.
