Directors' Share Interests - Share purchase by the Trustees of the Company's
Long Term Incentive Scheme

Centrica plc announces that Mourant & Co Trustees Limited, Trustees of the Long
Term Incentive Scheme, has acquired 4,450,000 ordinary shares of 5 5/9p each in
Centrica plc over a four business day period - 8, 11, 12 and 14 October 1999 at
the following prices:

           8 October          2,000,000 at 160.063p
          11 October            500,000 at 166p
          12 October          1,500,000 at 165p
          14 October            450,000 at 165p

in respect of the Centrica Long Term Incentive Scheme in which the participants,
including Executive Directors and Senior Management, have a potential interest.

The above acquisition of 4,450,000 ordinary shares represents approximately 
0.113% of the issued share capital of the Company.
