Directors' Interests in Centrica Shares
Long Term Incentive Scheme
We write to inform you that the notional awards of shares set out below, made in
October 1995 under the British Gas Long Term Incentive Scheme (as restructured
on demerger of Centrica plc from British Gas plc), have lapsed in respect of the
following Directors on 24th November 1999.
R.A. Gardner 367,341 shares
M.S. Clare 46,465 shares
M.R. Alexander 108,695 shares
These notional awards, made in 1995 prior to the demerger of the Company from
British Gas plc, were subject to a total shareholder return performance
condition requiring the Company to rank in 50th place or above within the 1995
FTSE 100 comparator group over the performance period. The four year performance
period spanned both pre-and post demerger trading and ranked the
Company in 58th position.
The Directors interests in the share capital of the Company are reduced
accordingly.
