Directors' Notification of Dealing in Shares

    Directors' Share Interests - share purchase by the Trustees of 
    Centrica Profit Sharing Scheme

Centrica plc announces that Centrica Trustees Limited, trustees to Centrica
Inland Revenue Approved Profit Sharing Scheme (the 'Scheme') has acquired
3,262,476 shares of 5 5/9p each in Centrica plc over five business days a prices
between 224.55p and 242.23p. The shares were purchased for the appropriation to
all eligible Centrica employees under the terms of the Scheme.

On 18 May, each of the executive directors of Centrica plc (listed below)
received an appropriation of 230 ordinary shares of 5 5/9p in Centrica plc at an
initial market value of 248.25p.

These shares will be registered in the name of Centrica Trustees Limited in
accordance with the rules of the Scheme.
