Directors' Share Interests - Share purchase by the Trustees of the Company's
Long Term Incentive Scheme

Centrica plc announces that Mourant & Co Trustees Limited, Trustees of the
Centrica Long Term Incentive Scheme acquired 1,700,000 ordinary shares of 5 5/
9p each in Centrica plc on 18 October 2001 at 228.45p per share in respect of
the Centrica Long Term Incentive Scheme in which the participants, including
Executive Directors and Senior Management have a potential interest, subject
to the achievement of performance conditions.
