Results of General Meeting regarding proposed sale of Direct Energy

Centrica plc held a general meeting ("General Meeting") in relation to the proposed sale of Direct Energy to NRG Energy (the "Transaction") at Millstream, Maidenhead Road, Windsor, Berkshire SL4 5GD on Thursday, 20 August 2020 at 2:00 pm. The resolution proposed at the General Meeting was decided on a poll and was passed. The results are set out below.

As previously announced, the completion of the Transaction remains subject to the satisfaction or waiver of the conditions summarised in the circular published in connection with the Transaction ("Circular"), in particular the receipt of certain antitrust and regulatory approvals in the U.S. and Canada. The Transaction is expected to complete in the fourth quarter of 2020.
