Share Listing

Application has been made to The UK Listing Authority and to the London Stock
Exchange for 3,807,277,352 ordinary shares of 6 14/81 pence each to be listed in
connection with the Share Consolidation. Block listings totalling 11,139,335
ordinary shares of 6 14/81 pence each form part of this listed figure.

The Block listings consist of 8,246,046 shares under the Centrica Sharesave
Scheme, 2,628,006 shares under the Centrica Executive Share Option Scheme and
265,283 shares under the Centrica Share Incentive Plan.

It is expected that dealings in the new shares will commence on Monday, 25
October 2004.
