Repurchase of shares - AMENDMENT


Please see below an amendment to RNS announcement number 6441G, made on 20
December 2004.  The previous announcement stated that the number of shares
purchased for cancellation was 1,350,000.  The actual number of shares purchased
for cancellation was 1,335,000.  The corrected full announcement follows:


Centrica plc announces that on 20 December 2004 it purchased for cancellation
1,335,000 of its ordinary shares at a price of 227.3094p per share from Morgan
Stanley & Co. International Limited.
