Appointment of Karen Bomba and Caroline Brown as Non-Executive Directors
Horsham, UK: Ceres Power Holdings plc ("Ceres", the "Company") (AIM:CWR), a global leader in fuel cell and electrochemical technology, announces the appointment of Karen Bomba and Caroline Brown as independent Non-Executive Directors with effect from 1 June 2023.
Karen Bomba
Karen has 35 years of experience in the engineering industry, most recently at Smiths Group where she was latterly President of Smiths Interconnect until 2020. Karen was instrumental in streamlining Smith Interconnect's operational structure, building the technology team to replenish the pipeline of innovation, and repositioning the company for growth internationally.
Previously, Karen spent her career in various technical and managerial roles at Hitco Carbon Composites, Zoltek Companies and at Safran Groups SA where she worked for Messier-Bugatti, was Chair and Chief Executive of Labinal Groupe and President and CEO of Morpho Detection. She is currently a Non-Executive Director of Ultra Electronics Holdings Ltd and of Wärtsilä Oyj Abp.
Karen is an American, based on the East Coast of the United States. She has a Bachelor of Science in Mechanical Engineering from Rensselaer Polytechnic Institute, USA, and is a graduate of the Financing and Deploying Clean Energy course at the Yale School of the Environment.
Caroline Brown
Caroline is a commercially focused business leader with over 20 years of main Board experience, as an Executive and Non-Executive Director, driving strategic growth and leading high-performance teams across the financial, technology and industrial sectors.
Caroline has delivered business strategy across EMEA, the Americas, India and the Far East in commercial leadership roles for FTSE100 groups, mid-cap companies and innovative small and medium-sized enterprises. Her early career was in corporate finance with BAML (New York),
UBS and HSBC advising global corporations and governments.
Caroline is British and Irish and has qualified as an Accountant, Chartered Financial Analyst, Master of Business Administration and Chartered Director.

Caroline Brown was a director of Rockley Photonics Holding Limited, a Cayman registered company, from 12 August 2021 to 12 December 2022. On 24 January 2023 the Company filed for Chapter 11 Protection with US Bankruptcy Court. On 10 March 2023 Rockley Photonics received court approval for restructuring under the Cayman restructuring officer regime.
Caroline Brown was a director of Play to Win TV Limited, a UK registered company, from 03 October 2006 to 06 June 2007. On 19 June 2007 the Company entered into a Creditors Voluntary Liquidation and was formally dissolved on 02 February 2012.
As at the date of this announcement, neither Karen Bomba nor Caroline Brown, have a beneficial interest in the ordinary shares of the Company.
