Total Voting Rights

Ceres Power Holdings plc (AIM: CWR) confirms that as at 15 December 2016, the Company had 1,008,040,924 ordinary shares of 1 pence each ("Ordinary Shares") in issue, with one voting right each. The Company does not hold any shares in treasury. The number of Ordinary Shares with voting rights is therefore 1,008,040,924.

Accordingly, these figures may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company, under the Disclosure and Transparency Rules.

Block Admission Application

The Company has also made an application to the London Stock Exchange Plc for a block admission of 15,895,333 Ordinary Shares.  The block admission relates to Ordinary Shares which will be allotted from time to time in accordance with the exercise of options under the Company's EMI Option Scheme

It is expected that the Ordinary Shares will be admitted to trading on AIM on 20 December 2016. The Ordinary Shares, when issued, shall rank equally with the Company's existing issued Ordinary Shares.

The Company's current issued share capital as set out above will not change as a result of the block admission. The Company expects to publish its next 6 monthly Block Listing Interim Review on or around 20 December 2016.
