RE: BROCHURE OF PARTICULARS

Application has been made for 14,507,940 Ordinary Shares of nominal value €0.025
each in the capital of Celtic Resources to be admitted to dealing on the
Exploration Securities Market of the Irish Stock Exchange. These Ordinary Shares
have been allotted pursuant to a placing announced on 31 October, 2001 and
utilise the standard allotment authority sought and received at the Annual
General Meeting of the Company on 23 July, 2001.
