                             Dealings by directors



Pursuant to the Company's acquisition of Eureka Mining Plc, the Celtic Resources
Holdings Plc Employee Benefit Trust now holds 3,381,245 ordinary shares of €0.25
each with the Company ("Ordinary Shares"), being 6.06% of the increased issued
share capital of the company.


The interests of the following Celtic directors have also increased as a result
of this issue of Ordinary Shares:

Limited, which holds the Ordinary Shares on behalf of a trust of which Kevin Foo
is a possible beneficiary.


In addition, H J Resources Limited holds warrants over 250,000 Ordinary Shares
at £1.563, 6,038 Ordinary Shares at £1.10 and 312 Ordinary Shares at £2.00, Mr
McDermott holds warrants over 542,735 Ordinary Shares exercisable at €1.625 per
Ordinary Shares, Mr Worthington holds warrants over 4,687 Ordinary Shares
exercisable at £2.00 and Mr Nesbitt holds options over 11,000 Ordinary Shares
exercisable at €1.27 per Ordinary Shares.
