      Celtic Resources Holdings Plc ("Celtic Resources" or the "Company")

                         Change in Director's Interest

Celtic Resources was advised on 18 July 2007 that MG Capital Plc ("MG Capital") 
sold 30,000 ordinary shares of Euro 0.25 each in the Company ("Ordinary Shares")
on 16 July 2007 at 151p per share.  Peter Hannen, a director of the Company,
holds  an interest in MG Capital that is declarable under the Companies Act
1990.  Mr  Hannen and Mr Scott-Barrett, also a director of the Company, are both
directors  of MG Capital, but are excluded from the procedures whereby this
decision was made.

As a result of this sale, Peter Hannen is now interested in 69,691 Ordinary
Shares  representing 0.12 per cent. of the total issued share capital of the
Company.
