Transfers to directors
The Trustees of the Celtic Resources Holdings Employee Benefit Trust No2 have
transferred 160,000 shares at £3.835, being the price on 14 October 2004, the
date of entitlement, to satisfy Celtic's obligations under Mr Foo's and Mr
Palmer's contracts of employment.
The transfer to Mr Foo of 100,000 shares increases his holding to 2,847,756
ordinary shares, being 7.72 per cent. of the issued share capital of the
company. Mr Foo also holds warrants over 250,000 shares exercisable at £1.563
per share, over 6,038 shares exercisable at £1.10 per share and over 312 shares
exercisable at £2.00 per share before 31 December 2004.
Mr Palmer's entitlement to 60,000 is transferred, at his direction, to The
Gallagher Partnership LLP where he is a partner. As a result of the transfer his
holding increases to 219,758 ordinary shares being 0.6 per cent. of the issued
share capital of the company. Mr Palmer also holds warrants over 3,546 shares
exercisable at £1.10 per share and over 2,812 shares exercisable at £2.00 before
31 December 2004.
