                           Significant shareholding

The Company was notified on 24th August 2004 that Deutsche Bank AG and its
subsidiary companies hold 2,043,200 ordinary  shares in Celtic Resources, which
represents 5.55 per cent. of its total issued ordinary share capital.

Deutsche Bank AG London Branch holds 40,700 shares and 2,002,500 shares are now
held by other Deutsche Bank group companies in customer portfolio, as follows:
