                            Significant shareholding

The Company was notified on 1st October 2004 that Deutsche Bank AG and its
subsidiary companies hold 1,828,200 ordinary  shares in Celtic Resources, which
represents 4.96 per cent. of its total issued ordinary share capital, and under
the  Irish Companies Act 1990 therefore no longer have a notifiable interest in
the ordinary shares of Celtic Resources  Holdings Plc.
