("Chaarat" or the "Company")

Holding in Company

Chaarat (AIM:CGH), the AIM-quoted gold mining company with assets in the Kyrgyz Republic and Armenia, was informed that on 1 May 2019 each of the following persons discharging managerial responsibilities ("PDMRs") held the following number of ordinary shares of US$0.01 each ("Shares") following their respective subscriptions in the course of the placement announced by the Company on 1 April 2019:

-    Artem Volynets held 1,655,333 Shares, representing 0.41% of the issued share capital of the Company following the subscription for 333,333 Shares at a price of 30 pence per share;

-    Chris Eger held 405,333 Shares, representing 0.1% of the issued share capital of the Company following the subscription for 255,333 Shares at a price of 30 pence per share;

-    Robert Benbow held 125,000 Shares, representing 0.031% of the issued share capital of the Company following the subscription for 125,000 Shares at a price of 30 pence per share;

-    Warren Gilman held 350,000 Shares, representing 0.087% of the issued share capital of the Company following the subscription for 350,000 Shares at a price of 30 pence per share;

-   Gordon Wylie held 63,833 Shares, representing 0.016% of the issued share capital of the Company following the subscription for 63,833 Shares at a price of 30 pence per share;

-   Hussein Barma held 35,000 Shares, representing 0.009% of the issued share capital of the Company following the subscription for 35,000 Shares at a price of 30 pence per share.

Labro Investments Limited held 135,461,924 Shares, representing 33.69% of the issued share capital of the Company following the subscription for 1,914,999 Shares at a price of 30 pence per share. Martin Andersson (the Chairman of Chaarat) is indirectly beneficially interested in the majority of shares in Labro Investments Limited.
 

Commenting, Executive Chairman Martin Andersson said:

"A majority of Chaarat's key management and Board of Directors have subscribed to the Placing, further aligning their interests with the Company's. I am grateful for their confidence and dedication to the Company."
 

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following the admission of Shares issued by the Company in its recent placing will consist of 402,094,578 ordinary shares with voting rights attached (one vote per ordinary share). There are no ordinary shares held in treasury. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
