Appointment of Alternate Director and Result of Extraordinary General Meeting
BPC, the Caribbean and Atlantic margin focused oil and gas company, with production, appraisal, development and onshore and offshore exploration assets across the region, is pleased to announce that each of the resolutions proposed at the Extraordinary General Meeting of the Company ('EGM'), held earlier today, were passed. The full text of each resolution was included in the Notice of Extraordinary General Meeting of the Company, circulated to shareholders on 23 April 2021 and made available on the Company's website: https://www.bpcplc.com/.
Ahead of the EGM, BPC appointed Peter Cannell to the Board as Alternate Director to Non-Executive Chairman, Bill Schrader. The appointment was solely for the purpose of matters relating to the Company's EGM, that took place at 11:00 BST today, at the Company's registered office at IOMA House, Hope Street, Douglas, Isle of Man, IM1 1AP. As such, Peter Cannell's appointment will now be terminated following the closing of the EGM. The other existing members of the Board were unable to attend the EGM as a result of travel restrictions and advice relating to the Coronavirus (COVID-19) pandemic.
Additional Information on Mr Peter Joughin Cannell (Aged 55)
Mr Peter Cannell is an Advocate and Chartered Governance Professional at Quinn Legal, which has acted as BPC's Legal Counsel in the Isle of Man for 3 years. Mr Cannell was admitted as an associate to the Chartered Governance Institute (formerly the Institute of Chartered Secretaries and Administrators) in 1992 and commissioned as an Isle of Man Advocate in 2013.
