                         The Character Group plc

Application has today been made for a total of 5,000,000 ordinary shares of 5p
each (the 'Shares') to be admitted to the Official List and to trading on the
London Stock Exchange's market for listed securities by way of a Block Listing.
The Shares may, subject to satisfaction of any applicable performance
conditions, be issued and allotted in connection with the due exercise of
options granted under the Company's 1995 Approved Share Option Scheme (2,000,000
Shares), its 1997 Unapproved Share Option Scheme (1,750,000 Shares) and its
Enterprise Management Incentive Share Option Scheme (1,250,000 Shares). The
Shares will, upon issue, rank parri passu with the then existing ordinary shares
of 5p each in the Company, including in relation to dividends where the relevant
record date falls on or after the relevant date of allotment.
