             The Character Group plc ('Character' or 'the Company')

                           Digital Division Approach

Further to the announcement dated 9 January 2006, Character announces that a
joint notification has been filed at the Federal Cartel Office ('
BundesKartellamt') in Germany by Flextronics Sales and Marketing (A-P) Limited
('Flextronics') and Character's subsidiary World Wide Licenses Limited in
accordance with German competition law and merger clearance procedures in
respect of the possible acquisition by Flextronics of Character's digital
products division.

Negotiations are continuing with Flextronics and shareholders will be updated in
due course.
