                              Dealings by a Director


In order to satisfy a request to the Company for additional liquidity in the
market for the Company's ordinary shares ('Ordinary Shares') the Company was
informed yesterday that, Joe Kissane, an executive director of Character Group,
yesterday sold 200,000 Ordinary Shares at a price of 117.5p per share. Following
this transaction, Mr. Kissane has an interest in 1,747,300 (1) Ordinary Shares,
representing 4.23 per cent. of the issued ordinary share capital of the Company.


1.          Included in the interests of Mr. Kissane are his interests in
285,000 ordinary shares held by Orbis Pension Trustees Limited, which is the
Trustee of the Company's Employee Share Ownership Trust ('ESOT'). Mr Kissane is
deemed to be interested in such ordinary shares by virtue of being within the
class of beneficiaries defined by the ESOT.
