The Character Group plc (the 'Company')

Holdings in the Company

The Company was notified on 1 December 2004 by Valtidone S.p.A. ('Valtidone')
that its holding of ordinary shares of 5p each in the capital of the Company
('Ordinary Shares') as at 1 December 2004 had, as a consequence of disposals of
Ordinary Shares made by it during the period from 29 June 2004 (when Valtidone
last gave a notification of dealings in Ordinary Shares to the Company), been
reduced to 220,000 Ordinary Shares, representing approximately 0.42 per cent. of
the issued Ordinary Shares.  Accordingly, Valtidone no longer has a notifiable
interest in relation to the Company.
