Result of Placing, Intermediaries Offer and Offer for Subscription of C Shares

On 24 November 2017, Chelverton Small Companies Dividend Trust PLC ("SDV" or the "Company") and SDV 2025 ZDP Plc ("2025 ZDPCo"), a wholly-owned subsidiary of SDV, published a prospectus containing details of proposals, inter alia, to allow investors to take part in a Placing, Intermediaries Offer and Offer for Subscription of C Shares.

The Board of SDV announces that a total of 5,500,000 C Shares will be issued pursuant to the Placing, Intermediaries Offer and Offer for Subscription.

ZDP Placing

Following the announcement of the result of elections under the Scheme made on 19 December 2017, the Board announces that it is proposing to issue up to 1,802,336 ZDP Shares pursuant to the ZDP Placing.  Stockdale Securities has agreed under the Placing Agreement to use its reasonable endeavours to procure placees for the ZDP Shares at the Issue Price.

Orders under the ZDP Placing must be received by Stockdale by 12.00 noon on 4 January 2018.

It is expected that the results of the ZDP Placing will be announced on or around 5 January 2018.

Admission and dealings

Application will be made for the C Shares to be admitted to listing on the premium segment of the Official List and to trading on the London Stock Exchange's main market for listed securities. Dealings are expected to commence at 8.00 a.m. on 8 January 2018. It is anticipated that CREST accounts will be credited (where applicable) on the same day and the C Shares will trade using the ticker SDVC and under ISIN GB00B27MNB52. New share certificates in respect of the C Shares will be issued as soon as practicable following admission.
