Directorate Change and Board Committees
Cineworld Group Plc announces the following proposed changes to its Board which will take effect from the Annual General Meeting of the Company due to be held on 26 May 2015 ("AGM"):
· David Maloney and Peter Williams, both of whom have been Non-Executive Directors for nine years and so will cease to be considered independent, will leave the Board at the AGM. At the same time, the Company will be proposing the appointment of one new Non-Executive Director, Julie Southern. Her appointment will be subject to shareholder approval at the AGM.
· Julie Southern currently holds Non-Executive roles (and is Chairman of the Audit Committee) at Rentokil-Initial Plc and DFS Furniture Plc. She is also a Non-Executive Director of NXP Semiconductors N.V.. Julie brings decades of experience as a Chief Financial Officer and Chief Commercial Officer, driving strategy, revenue and commercial planning. She has worked across multiple industry sectors and sizes of organisation including PwC, WH Smith, Porsche Cars and Virgin Atlantic.
There is no other information required to be disclosed under listing Rule 9.6.13R.
Julie Southern will become the Chair of the Audit Committee at the Company on appointment and Martina King, a current Non-Executive Director, will become the Chair of the Remuneration Committee at the same time.
It is anticipated that a second new Non-Executive Director will be identified and announced in due course and, following that announcement, other revisions to the composition of the Nomination, Remuneration and Audit Committees of the Board will be made.
