LR 12.6.4 - NOTIFICATION OF SALE OF SHARES OUT OF TREASURY

The City of London Investment Trust plc (the "Company") announces that 350,000 ordinary shares of 25p each held by the Company in treasury have today been sold at a price of 187.5p per ordinary share.

Following the above sale, the Company has 8,090 ordinary shares still held in treasury.  The total number of ordinary shares in issue (including treasury shares) is 207,574,868. The total number of ordinary shares in issue with voting rights (excluding treasury shares) is 207,566,778.

The number of voting rights in the Company is now:

a)    13,837,785 in respect of the ordinary shares (one vote for every 15 shares held);

b)    30,198 in respect of the First Preference Stock (one vote for every £10 of stock held); and

c)    29,484 in respect of the Preferred Ordinary Stock (one vote for every £20 of stock held).

Therefore, the total number of voting rights in the Company is 13,897,467.

The above figure (13,897,467) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, The City of London Investment Trust plc under the FSA's Disclosure and Transparency Rules.
