Notice of General Meeting

The City of London Investment Trust plc (the "Company") gives notice that a General Meeting of the Company will be held at 10.00 am on Friday, 18 June 2021 at 201 Bishopsgate, London EC2M 3AE to seek shareholder approval for the renewal of the authorities to allot ordinary shares and to disapply pre-emption rights up to an aggregate nominal amount of £11,103,122 (or such other amount as shall be equivalent to 10 per cent. of the issued ordinary share capital as at the date of the meeting).

A circular containing the Notice of General Meeting will be despatched to shareholders on 24 May 2021.

A copy of the Notice will be submitted to the National Storage Mechanism and will be available for inspection at  https://data.fca.org.uk/#/nsm/nationalstoragemechanism . The Notice will also be available on the Company's website at: www.cityinvestmenttrust.com

In light of the UK Government's COVID-19 laws and advice that are likely to apply at the time of the General Meeting, the General Meeting will be held with a minimum number of essential attendees in person. If the advice changes and the Company is able to permit Shareholders to attend a physical meeting, Shareholders will be informed via the Company's website and an announcement to the Stock Exchange. Given the uncertainty around whether Shareholders will be able to attend the General Meeting, Shareholders are strongly recommended to complete and return their proxy appointments, appointing the Chairman of the meeting as their proxy. This will ensure that Shareholders' votes are counted even if attendance at the General Meeting is restricted. The voting will be conducted on a poll rather than a show of hands.
