Directors' Dealings and Total Voting Rights
The Company was notified yesterday that on 9 June 2008 Barry Olliff, Tom Griffith and Carlos Yuste exercised options over ordinary shares of 1p each in the Company ('Ordinary Shares') held by the City of London Employee Share Option Trust ('the ESOP'):

As a result of these transactions there remain 1,883,885 Ordinary Shares held in the ESOP representing 7.42% of the issued share capital.
In addition to the above transactions, the Company was notified yesterday that on 9 June 2008 Doug Allison exercised options over 30,000 new Ordinary Shares in the Company at a price of 26p per Ordinary Share. As a result of this transaction, Mr. Allison is now interested in 290,625 Ordinary Shares representing 1.14% of the issued share capital.
Application has been made for the new Ordinary Shares to be admitted to trading on AIM ('Admission'). Admission is expected to become effective on 16 June 2008. The new Ordinary Shares will rank equally with the existing Ordinary Shares of the Company.
Following Admission, the total number of Ordinary Shares of City of London in issue will be 25,390,500. There are no Ordinary Shares held in treasury and therefore the total number of Ordinary Shares with voting rights in the Company will be 25,390,500.
The above figure of 25,390,500 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
