Share Buyback and Statement re Share Price
Civitas Social Housing PLC (the "Company"), announces that on 20 September 2021, it bought into treasury 150,000 ordinary shares of 0.01p each in the capital of the Company ("Ordinary Shares") at a price of 96.55p per Ordinary Share.
The Board notes the recent decline in the Company's share price, which it believes is associated with activity from an activist short seller as well as recent press coverage, the content of which it believes to be baseless, incorrect and/or misleading .
The Company has spent the last week engaging with major shareholders to discuss the recent activity and remains available to shareholders that wish to engage further.
The Board and Civitas Investment Management continue to have great confidence in the Company's assets, revenues, business model and strategy. Moreover, the Company continues to perform robustly.
Total Voting Rights
Following the transaction, the Company's issued share capital is 622,461,380 Ordinary Shares. The Company holds 150,000 Ordinary Shares in treasury, which do not carry any voting rights. Accordingly, the total number of voting rights in the Company is 622,311,380 Ordinary Shares. This figure may be used by shareholders as the denominator for the purposes of calculating whether or not they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
