Director/PDMR Shareholdings
This notification is made in accordance with DTR 3.1.4
On 5 November 2009 the following awards over ordinary shares in the Company were granted under the Clarkson PLC Long Term Incentive Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs") of the Company:
No consideration was paid for the grant of the award which represents restricted shares due to Mr Case and Mr Woyda in fulfilment of their 2008 bonus as disclosed in the 2008 annual report.
The vesting of the award is subject to continued employment and will normally vest on the fourth anniversary of grant.
The number of shares to be awarded was established and they were due to be granted on 1 May, at the same time as all higher earning employees. Mr Case and Mr Woyda deferred the grant of their awards to give priority to all other employees who received the 2008 final dividend and 2009 interim dividend.
Mr Case and Mr Woyda have waived both these dividends.

The following award over ordinary shares in the Company was granted under the Clarkson PLC Long Term Incentive Plan (the "Plan") to a Person Discharging Managerial Responsibility ("PDMR") of the Company. The shares were allocated in two tranches on 18 September 2009 and 29 May 2009 but the effective date of grant was 1 May 2009.
No consideration was paid for the grant of the award which is structured as an award of restricted shares.
The vesting of the award is subject to continued employment, and will normally vest on the fourth anniversary of grant.
