A director of the Company, Mr P L Winkworth, holds an option (the 'Option')
over 200,000 ordinary shares in Close Brothers Group plc ('Shares') which was
granted to him on 18 May 1990 by Caledonia Investments PLC ('Caledonia') over
Shares held by Caledonia at an exercise price of 145.90p per Share.  Caledonia
has agreed to extend the final exercise date of the Option from 18 May 2000 to
31 December 2007, on terms that the exercise price will increase by 7.5p per
Share per annum in each year from 2000 to 2007.  These amendments to the
Option have been effected by a release of the original rights and the grant of
new rights on the revised terms by the wholly-owned subsidiary of Caledonia
which holds the Shares required to satisfy the Option.
